TERMS OF SERVICE

Welcome to Properos LLC (“Properos,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our websites, software, products, applications, and professional services.

1. Mobile Message Policy

Properos is a software company that offers website and app development services for businesses and individuals, as well as prebuilt software solutions and SaaS products.

You can cancel the SMS service at any time. Just text STOP to the short code. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency may vary. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

2. Services

Properos provides software development, consulting, integration, automation, hosting, support, and related technology services. Services may include, but are not limited to:

  • Custom software development
  • Web and mobile application development
  • CRM and automation systems
  • API integrations
  • Cloud infrastructure and hosting
  • Technical consulting
  • Maintenance and support services

Specific services, deliverables, pricing, timelines, and responsibilities may be defined in separate proposals, statements of work (“SOW”), service agreements, or invoices.

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Supply required content, credentials, approvals, and feedback in a timely manner
  • Maintain lawful rights to all materials provided to Properos
  • Use the services in compliance with applicable laws and regulations
  • Not use our services for unlawful, abusive, fraudulent, or malicious activities

Delays caused by missing client information, approvals, or dependencies may impact delivery timelines.

4. Payments and Billing

Unless otherwise agreed in writing:

  • Invoices are due within fifteen (15) days of issuance
  • Deposits and milestone payments may be required before work begins
  • Late payments may incur interest or service suspension
  • All fees are non-refundable unless explicitly stated otherwise

Properos reserves the right to suspend services for unpaid balances.

5. Intellectual Property

Client Materials

Clients retain ownership of materials, trademarks, data, and content they provide.

Developed Work

Upon full payment, clients receive ownership or usage rights to the final deliverables as specified in the applicable agreement.

Properos retains ownership of:

  • Pre-existing code and frameworks
  • Internal development tools
  • Libraries and reusable components
  • General know-how, methodologies, and expertise

Unless otherwise agreed, Properos may reuse non-confidential components and techniques in future projects.

6. Third-Party Services

Projects may incorporate third-party software, APIs, hosting providers, plugins, or services. Properos is not responsible for:

  • Third-party outages or service interruptions
  • Licensing changes
  • API limitations
  • Security vulnerabilities originating from third parties
  • Third-party pricing or policy changes

Use of third-party services may be subject to separate terms and conditions.

7. Hosting and Infrastructure

If Properos provides hosting or infrastructure management:

  • Clients are responsible for maintaining lawful content
  • Properos may suspend services that threaten security, stability, or legal compliance
  • Backups may be provided as a courtesy and are not guaranteed unless explicitly included in a service agreement
  • Clients are encouraged to maintain independent backups of critical data

8. Confidentiality

Both parties agree to protect confidential information shared during the course of the engagement. Confidential information includes business information, source code, credentials, trade secrets, customer data, and proprietary processes that are not publicly available. This obligation survives termination of services.

9. Warranties Disclaimer

Services are provided “as is” and “as available.” Properos does not guarantee that services will be uninterrupted, error-free, or completely secure.

To the fullest extent permitted by law, Properos disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Properos shall not be liable for:

  • Indirect or consequential damages
  • Lost profits or revenue
  • Data loss
  • Business interruption
  • Security breaches caused by third parties
  • Delays outside our reasonable control

Properos’ total liability shall not exceed the total amount paid by the client for the specific services giving rise to the claim during the previous six (6) months.

11. Indemnification

Clients agree to indemnify and hold harmless Properos, its employees, contractors, and affiliates from claims, damages, liabilities, or expenses arising from:

  • Client-provided content or materials
  • Illegal or unauthorized use of the services
  • Violations of applicable laws
  • Infringement of third-party rights

12. Termination

Either party may terminate services in writing.

Upon termination:

  • Outstanding balances become immediately due
  • Access to hosted systems or services may be suspended
  • Properos may retain project backups for a limited period
  • Clients remain responsible for third-party service fees

Termination does not remove obligations that by nature should survive termination.

13. Privacy

Use of our services may involve the collection and processing of information. Please review our Privacy Policy for details regarding how information is handled.

14. Acceptable Use

Clients may not use our services to:

  • Violate laws or regulations
  • Distribute malware or malicious code
  • Engage in fraud or phishing
  • Abuse network resources
  • Store or distribute unlawful content
  • Infringe intellectual property rights

Properos reserves the right to suspend services violating this section.

15. Modifications

Properos may update these Terms periodically. Updated versions become effective upon posting to our website. Continued use of the services after updates constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Florida, United States, without regard to conflict of law principles.
